The website pvcomponents.com (the "Website") is owned and operated by Solargis s.r.o., Bottova 2/A, 811 09 Bratislava, Slovakia (hereinafter as "Solargis" or “we”). Solargis is a B2B entity, and our counterparties are exclusively entrepreneurs, business organization or non-commercial institutions (“organization”). “You,” and “your” as used in these Terms of Use refer to the organization that is using the Website or Services. 
The Website contains PV Components Catalog (“PVCC”) which is a detailed, collaborative, and searchable online database of third-party-verified PV components originated from manufacturers of all around the globe.
Your access to, browsing, review and use of the Website and any services offered there is subject to the following Terms of Use (“TOU”) and all applicable laws. By accessing and using the Website, you accept these TOU without limitation. If you do not agree to these TOU, do not use the Website. Inseparable part of these TOU is the Privacy policy available at https://pvcomponents.com/legal.

 

1. Description of Services

Through the Website Solargis provides you with access to PVCC and its various resources and tools, dashboard, communication area and related data and datasets (collectively "Services"). The Services, including any updates, enhancements or new features, are subject to these TOU. 

Services can be used for personal or internal business use only. 

Some of our Services which are commonly available, can be used by any visitor of the Website. For most of the Services and/or for using their full functionality you need to become a registered user by opening an account at the Website (see point 4 hereunder) and paying the fees, where applicable. The availability of free Services may be subject to change without notice. You acknowledge that free Services may be limited in functionality compared to paid Services.

The Services provided on this platform may integrate with, interact with, or make use of other services, applications, or platforms offered by the Provider in different environment. Please review Article 7 for more detailed explanation.  

If you are a manufacturer of PV components, you can become a registered contributor of PV components to PVCC, see point 5 hereunder.

 

2. Use of the Website, Services and related content

In using the Website, including all services and resources available through it, you agree that you will NOT:

  • Copy, modify, create derivative works, adapt, reverse engineer, emulate, migrate to another service, translate, compile, decompile or disassemble the Website or any content thereof or third party content in Website for use and display within your web sites and/or any part thereof in any way, or publicly display, perform, transmit or distribute any of the foregoing without Solargis prior written and specific consent and/or as expressly permitted under these TOU;
  • Publish and/or make any use of the Website content on any website, media, network or system other than those accepted by Solargis, and/or frame, “deep link”, “page scrape”, mirror and/or create a browser or border environment around any of the Website, except as expressly permitted by Solargis, in advance and in writing;
  • Use any “robot”, “spider” or other automatic device, program, script, algorithm, or methodology, or any similar or equivalent manual process, to access, acquire, copy, or monitor any portion of the Website content or in any way reproduce or circumvent the navigational structure or presentation of any of the foregoing to obtain or attempt to obtain any materials, documents, services or information through any means not purposely made available through the Website;
  • Act in a manner which might be perceived as damaging to Solargis’ reputation and goodwill or which may bring Solargis into disrepute or harm;
  • Falsely state or otherwise misrepresent your affiliation with any person or entity, or falsely express or imply that Solargis endorses you, your web site, your business, your user products, or any statement you make;
  • Design, develop, distribute and/or otherwise transmit or execute, any virus, worm, Trojan Horse, time bomb, web bug, spyware, malware, or any other computer code, file, or program that may or is intended to damage or hijack the operation of the Website;
  • Sell, license, or exploit for any commercial or other purposes any use of or access to Website;
  • Inject content or code or otherwise alter or interfere with the way any our Website or Services is rendered or displayed in a user's browser or device;
  • Remove or alter any copyright notices, watermarks, restrictions and signs indicating proprietary rights of any of our licensors, including copyright mark [©], Creative Commons [(cc)] indicators, or trademarks [®] contained in or accompanying the Services and/or Website content; or
  • Violate, attempt to violate, or otherwise fail to comply with any of the Solargis terms or any laws or requirements applicable to your use of the Website or Services.
  • Use any Solargis logo on the Website without express written permission from Solargis.

When using our Services you must neither:

  • change, modify, adapt, or alter the Services or change, modify, or alter another website so as to falsely imply that it is associated with the Services or with us,
  • access our private API by means other than those expressly permitted by us,
  • interfere or disrupt the Services or servers or networks connected to the Services, including by transmitting any worms, viruses, spyware, malware, or any other code of a destructive or disruptive nature,
  • attempt to restrict another user from using or enjoying the Services or encouraging or facilitating violations of these TOU or any of our other terms,
  • use the Services for any illegal or unauthorized purpose,
  • use the Services in any manner that interferes with or disrupts the integrity, security or performance of the Services,
  • use the Services in any manner that could damage, disable, overburden, impair or harm any server, network, computer system, resource of Solargis,
  • transfer the Services or otherwise make it available to any third party.

You are granted a limited and revocable right to create a hyperlink to the Website as long as the link does not portray Solargis or the Website in a false, misleading, derogatory, or otherwise offensive matter. 

 

3. Intellectual Property Rights

The Website and its content, including, but not limited to, any artwork, graphics, images, website templates and widgets, literary work, software, source and object code, computer code, applications, audio, music, video and other media, designs, animations, interfaces, the “look and feel” of the Website, methods, algorithms, data, interactive features, advertising, inventions, trade secrets, Solargis logos, domains, customized URLs, Solargis trademarks, service marks, trade names and other proprietary identifiers, whether or not registered and/or capable of being registered, is the property of Solargis and is protected from unauthorized copying and dissemination by copyright law, trademark law, international conventions and other intellectual property laws. All other logos and trademarks presented on the Website belong to their respective owners.

Nothing contained on the Website should be construed as granting, by implication or otherwise, any license or right to use the Website or any content displayed on the Website, without the prior written permission of Solargis.

 

4. Account

If you want to use our Services or if you want to become a Contributor, as defined below, you must create an account and provide current, complete, and accurate information for your organization as requested in the registration form (“Account”). The Account must be always created by an authorized representative of your organization. Accounts registered by “bots” or other automated methods are not permitted.

When setting up the Account, you need to insert your credentials, and you will become the first administrator. You can assign one or more other administrators. Each administrator must be authorized to act on behalf of your organization. The administrators will be able to configure the Services to fit your needs, manage the users within your organization and attribute the available roles to the users.

You may not disassemble, decompile, or reverse engineer the Account or attempt or assist anyone else to do so. You are further responsible for: (i) keeping your Account credentials confidential (ii) appointing authorized individuals as administrators to manage your organization’s Account, and (iii) ensuring that all activities under the Account comply with these TOU. Solargis is not responsible for managing the Account or the Services internally for you.

You agree to notify Solargis immediately if there is any unauthorized use of your Account or any other security breach. Solargis will not be responsible for any losses you may incur if someone else uses your credentials or Account, with or without your knowledge. However, you may be held liable for losses incurred by Solargis due to unauthorized use of your Account or credentials.

In case of technical issues it may be necessary for Solargis to access your Account and content thereof in order to diagnose an issue and find the solution. It is implied that you are allowing us to access your Account for such purposes, if necessary.

 

5. Contributors

If you are a PV manufacturer, you may become a verified contributor to PVCC (“Contributor”). Your request will be reviewed by Solargis and you will become the Contributor after approval by Solargis. Approved Contributors can add their photovoltaic components to PVCC.

Any photovoltaic component that a Contributor wants to publish in PVCC and thereby share with others ("Contributor's Content") must first be verified by Solargis. The verification process may include a rating of the Contributor's Content, categorizing its reliability. Complete information on the verification process and publication can be found here.

The Contributor can choose whether to make these components publicly accessible to other users of PVCC. By publishing the Contributor´s Content in PVCC the Contributor also agrees that Solargis may integrate it to other Solargis services or applications (see art. 7).

The following Terms and Conditions apply only to the Contributors and by submitting the Contributor’s Content for verification, each Contributor accepts these Terms and Conditions without limitation:

a)    The Contributor must submit accurate and complete information about the photovoltaic component, that is subject of verification.
b)    The Contributor must cooperate with Solargis during the verification process, providing any additional information or clarification in a timely manner.
c)    Solargis reserves the right to refuse and, withdraw from PVCC, any Contributor’s Content that (i) is in Solargis opinion inaccurate, incomplete, or misleading, or (ii) violates any applicable laws or regulations or these TOU or (iii) infringes the rights of any third party.
d)    The Contributor is solely responsible for ensuring the accuracy and reliability of the Contributor’s Content provided. Solargis is not liable for the Contributor’s Content, nor for any inaccuracies or errors in the Contributor’s Content submitted by the Contributor.
e)    Contributor warrants that the Contributor’s Content complies with all applicable laws, regulations, and industry standards. The Contributor also warrants that the Contributor’s Content does not infringe intellectual property rights or any other rights of third parties.
f)    The Contributor retains ownership of the Contributor’s Content submitted to the PVCC. By submitting Contributor’s Content, the Contributor grants Solargis a non-exclusive, royalty-free, worldwide right to use, publish, distribute, copy and display the Contributor’s Content in connection with the PVCC and Services.
g)    By making the Contributor´s Content public in PVCC, the Contributor grants any and all users of PVCC a non-exclusive, royalty-free, worldwide right to use, copy, reproduce, build upon, exhibit, including in online, digital, or physical environments, and to display the Contributor´s Content, in whole or in part  for any lawful purpose, including but not limited to personal, educational, or commercial purposes.   
h)    If required by Contributor, Solargis will provide appropriate attribution to the Contributor’s Content in PVCC.
i)    Termination by Contributor: Contributor may terminate its participation as the Contributor under these Terms and Conditions upon 30 days’ notice period by notifying Solargis in writing. Upon termination, Solargis will remove wholly or partially upon Contributor´s request the Contributor’s Content from PVCC. 
Termination by Solargis: Solargis may terminate your participation as the Contributor by terminating and removing Contributor’s Content at any time for breach of these TOU. 
Effects of termination: Contributor acknowledges that any termination will not have effect on use of Contributor’s Content that has been made already available to other users of PVCC prior to such termination.

 

6. Paid Services

If you want to use PVCC' s paid Services, you can decide to buy such paid features when and where applicable. Please review the applicable fee schedule on the Website before making your selection. 
You are responsible for all applicable taxes, and we shall charge tax when required according to the law.

You must provide accurate and complete payment information when purchasing paid Services. Fees for paid Services are non-refundable unless otherwise stated.

 

7. Integration with other services

Services might be integrated with other Solargis services or applications (hereinafter "Other Solution"). Access and use of the Other Solution may require acceptance of terms of service and privacy policies applicable to such Other Solution (hereinafter "Other Terms"). While Solargis will make its best effort to provide you with advance notice, whenever reasonably possible, you acknowledge and agree that Solargis may, at any time and in our sole discretion, and without any notice to you, suspend, restrict or disable access to or remove from Services, any Other Solution, without any liability to you.

 

8. User’s Content

You are responsible for the content you upload or create by using any of our Services under your Account (“Account Content”). 
We do not claim ownership of your Account Content and we will not access or use your Account Content except if necessary to maintain or provide the Services, or as necessary to comply with the law or a binding order of a government authority. 
When in the process of using our Services, you encounter content with copyright notices or protection features, you agree not to remove or disable them. 

 

9. Feedback

You hereby irrevocably assign to Solargis the right to use all evaluations, ideas, feedback and suggestions made by you to Solargis regarding Website, Services or PVCC (collectively, “Feedback”). To the extent the right to use Feedback cannot be assigned by you to Solargis, you hereby grant to Solargis an exclusive, unlimited, royalty-free, transferable, irrevocable, worldwide right to use those non-assignable rights, title and interest in the Feedback. 

 

10. Disclaimer of Warranties, Limitation of Liability and Indemnification

DISCLAIMER OF WARRANTIES

TO THE FULLEST EXTENT PERMITTED BY LAW THE WEBSITE AND/OR THE SERVICES ARE PROVIDED “AS IS”. WE AND OUR AFFILIATES MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE REGARDING THE WEBSITE AND SERVICES OR ANY THIRD-PARTY CONTENT, INCLUDING NO REPRESENTATIONS OR WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, OR THAT THE SERVICES OR THIRD-PARTY CONTENT WILL BE UNINTERRUPTED, ERROR FREE, FREE OF HARMFUL COMPONENTS OR BUGS.
WE SPECIFICALLY DO NOT REPRESENT OR WARRANT THAT THE  SERVICES (OR ANY PART, FEATURE OR CONTENT THEREOF) ARE COMPLETE, ACCURATE, OF ANY CERTAIN QUALITY, RELIABLE OR SECURE IN ANY WAY, SUITABLE FOR OR COMPATIBLE WITH ANY OF YOUR (OR YOUR END USERS) CONTEMPLATED ACTIVITIES, DEVICES, OPERATING SYSTEMS, BROWSERS, SOFTWARE OR TOOLS (OR THAT THEY WILL REMAIN AS SUCH AT ANY TIME), OR COMPLY WITH ANY LAWS APPLICABLE TO YOU OR YOUR END USERS. 
LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMISSIBLE UNDER APPLICABLE LAW AND EXCEPT FOR CLAIMS OR ACTIONS ARISING FROM INTENTIONAL MISCONDUCT OR FRAUD, NEITHER SOLARGIS NOR YOU, NOR ANY OF OUR AFFILIATES, WILL HAVE LIABILITY TO THE OTHER PARTY, FOR (i) ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL, PUNITIVE OR EXEMPLARY DAMAGES OF ANY KIND, OR (ii) DAMAGES FOR LOSS OF USE, LOSS OF BUSINESS, LOSS OF PROFITS OR REVENUE, OR LOSS OF BUSINESS INFORMATION. TO THE MAXIMUM EXTENT PERMISSIBLE UNDER APPLICABLE LAW, IN NO EVENT SHALL SOLARGIS’ TOTAL LIABILITY TO YOU FOR ANY DAMAGES, LOSSES OR CAUSES OF ACTION THAT CAN BE FORESEEN, IN RESPECT OF ANY SERVICES OR THIS WEBSITE, EXCEED ONE THOUSAND EURO (EUR 1,000).

INDEMNITY

YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS SOLARGIS, ITS OFFICERS, DIRECTORS, SHAREHOLDERS OR AFFILIATES FROM AND AGAINST ANY AND ALL LIABILITIES, CLAIMS, DAMAGES, EXPENSES (INCLUDING ATTORNEYS' FEES AND COSTS) AND OTHER LOSSES ARISING OUT OF OR IN ANY WAY RELATED TO YOUR BREACH OF THESE TOU OR YOUR USE OF THE WEBSITE AND SERVICES IN BREACH OF THESE TOU. 

 

11. Right to Modify these TOU

We may update these TOU from time to time if required by the applicable law or to reflect changes in our Services or how we do business. We reserve the right to make the changes for formal or administrative reasons not affecting your rights and obligations hereunder without notifying you. Please regularly check these TOU which are posted on the Website to ensure you are aware of the most updated version. In case of material or substantial changes we shall provide our users having Account with reasonable advance notice before the updated TOU become effective. You agree that your use of the Services or the Website after the effective date of the updated version of the TOU constitutes your agreement to such updated terms. 

 

12. Governing Law & Jurisdiction

These TOU are governed by Slovak Law. Any dispute arising from these TOU which may not be settled amicably will be decided exclusively by the International Court of Arbitration of ICC in Paris, France by one arbitrator appointed in accordance with ICC´s procedural rules. The language of the proceeding shall be English.
